Terms & Conditions
Last updated: [Effective date]
These Terms & Conditions ("Terms") govern your access to and use of the Veyra Group website and our advertising and lead-management software platform (the "Platform"), including the Scale and Dominate subscription plans (together, the "Services").
Veyra Group is a South African business that sells access to a software platform built and hosted on technology licensed from a third-party software provider. By using the Platform, you agree to that provider's standard end-user obligations, including not reselling or reverse engineering the underlying software, in addition to these Terms.
By creating an account, subscribing to a plan, or otherwise using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
1. Acceptance of these terms
You accept these Terms by creating an account, completing checkout, or using the Platform in any way. These Terms form a binding agreement between you and us for as long as you use the Services.
If you are accepting these Terms on behalf of a business, you confirm that you have the authority to bind that business, and "you" in these Terms then refers to that business.
2. Eligibility
The Services are intended for use by businesses and by individuals who are at least 18 years old. By subscribing, you confirm that you are at least 18, and that you are using the Platform for business purposes rather than purely personal use.
3. Your account and access
You are responsible for keeping your login credentials confidential and for all activity that takes place under your account.
You must give us accurate, current information when you create an account or subscribe, and keep it up to date. We may suspend or terminate an account that contains information we reasonably believe to be false.
Notify us promptly if you suspect unauthorised use of your account.
4. Licence to use the platform
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable licence to access and use the Platform for your own business during your subscription period.
You may not, and may not permit anyone else to:
- Resell, sublicense, rent out, or provide the Platform to any third party as a standalone product or service.
- Reverse engineer, decompile, or disassemble the Platform or attempt to extract its underlying source code.
- Copy, modify, or create derivative works of the Platform.
- Use the Platform to build a competing product.
- Remove or alter any proprietary notices on the Platform.
5. Acceptable use
When using the Services, you agree to:
- Use the Platform only for lawful purposes.
- Ensure that any advertisements, offers, or claims you create or publish through the Platform are truthful and not misleading.
- Comply with the advertising policies of any platform you advertise on, including Meta, Google, and TikTok.
- Not use the Platform to send unsolicited bulk communications, spam, or communications that breach applicable electronic communications or marketing laws.
- Not use the Platform to collect, store, or process personal information unlawfully.
6. Customer content and data
You own the content, leads, contact details, and other data you input into or generate through the Platform ("Customer Data").
Where Customer Data includes personal information about your own contacts or leads, you act as the responsible party for that information and we process it on your behalf as an operator, strictly for the purpose of providing the Services to you and in line with your instructions.
You are responsible for having a lawful basis to collect and share that personal information with us, and for your own obligations to your contacts under POPIA or any other applicable law.
7. Subscription plans and billing
We currently offer two subscription plans, billed monthly in advance in South African rand (ZAR):
- Scale, a self-service plan at R599 per month, giving access to the Platform's advertising and lead-management tools for you to manage yourself.
- Dominate, a done-with-you plan at R1,599 per month, including everything in Scale plus campaign setup, build and launch assistance, priority onboarding and support, and strategy assistance.
8. Prices and VAT
[VAT position: prices include / exclude VAT, VAT number if registered]
Subscriptions are month-to-month. There is no long-term contract and no minimum subscription period. Your subscription renews automatically each month until you cancel it in line with section 10.
9. Payment processing
Subscription payments are processed by PayFast, a third-party payment service provider. By subscribing, you authorise PayFast to process the recurring monthly payment for your selected plan until your subscription is cancelled.
Veyra Group does not receive or store your full card details; PayFast handles that directly under its own security standards.
If a payment fails, we may retry the payment, notify you, and suspend access to the Services under section 15 until payment succeeds.
10. Cancellation
You may cancel your subscription at any time, with effect from your next billing date, by emailing us at the support address in section 27 or by cancelling through PayFast where that option is available to you.
When you cancel, your access to the Services continues until the end of the month you have already paid for. We do not provide pro-rata refunds for the unused portion of a month that has already started, except where South African law requires a refund in the circumstances described in section 11.
We may also cancel or decline to renew your subscription by giving you reasonable notice, except where section 15 (suspension for non-payment) or section 21 (termination) applies.
11. Cooling-off rights and consumer protection
Section 44 of the Electronic Communications and Transactions Act 25 of 2002 (ECTA) gives consumers who buy goods or services online a right to cancel the transaction, without reason or penalty, within seven days of receiving the goods or, for services, within seven days of concluding the agreement.
That cooling-off right does not apply where the service has already begun, with the consumer's agreement, before the end of that seven-day period. Because access to the Platform begins as soon as your subscription is activated and you agree to these Terms, the ECTA section 44 cooling-off right does not apply once you have started using the Services with your agreement.
Section 14 of the Consumer Protection Act 68 of 2008 (CPA) regulates fixed-term consumer agreements, such as a minimum contract period with a maximum duration and an obligation to notify you before automatic renewal. Our subscriptions are month-to-month with no fixed term and no minimum period, so section 14 does not apply to them.
Nothing in these Terms limits, excludes, or attempts to override any right you have under the CPA, ECTA, or any other South African consumer protection law that cannot lawfully be excluded by agreement. Where a provision of these Terms conflicts with such a non-waivable right, that right prevails.
12. Advertising spend is separate
Your subscription fee covers access to the Platform only. It does not include advertising or media spend.
Any budget you allocate to advertising on Meta, Google, TikTok, or any other advertising platform is paid by you directly to that platform, using your own advertising account. We never include advertising spend in your Veyra Group invoice, and we do not mark up, hold, or have access to those funds.
13. No guarantee of results
We provide software and, on the Dominate plan, campaign assistance. We do not guarantee any particular number of leads, clicks, impressions, sales, or any other advertising outcome.
Advertising results depend on many factors outside our control, including your industry, offer, budget, creative, website, and the policies, algorithms, and account decisions of third-party advertising platforms such as Meta, Google, and TikTok. Those platforms may reject advertisements, restrict accounts, or change their policies at any time, and those decisions are outside our control.
14. Done-With-You service (Dominate plan)
The Dominate plan includes Done-With-You assistance: help with campaign setup, building and launching campaigns, priority onboarding and support, and strategy assistance.
Done-With-You assistance is not a full advertising agency service, and does not include unlimited campaign creation, unlimited management, or guaranteed turnaround times.
To receive Done-With-You assistance, you must:
- Give us timely access to the advertising accounts you want us to work in.
- Provide accurate information about your business, offer, and advertising goals.
- Review and approve campaigns, copy, and creative within a reasonable time when we ask you to.
- Make sure your own advertising accounts are in good standing with the relevant platform.
15. Delays caused by the customer
If you do not provide access, information, or approvals within a reasonable time, we may pause work on your account until you do, without that being a breach of these Terms on our part.
16. Availability and changes to the software
The Platform is built on software licensed from a third-party technology provider. Its availability, features, and performance depend in part on that provider.
We will use reasonable efforts to keep the Platform available and to give advance notice of planned maintenance where practical, but we do not guarantee uninterrupted or error-free availability.
We may add, change, or remove features of the Platform, or change the underlying technology provider, where reasonably necessary, including to respond to changes made by that provider.
17. Price changes
We may change subscription prices from time to time. We will give you at least 30 days' notice of a price increase that applies to your plan, by email to the address on your account or by notice on the website.
If you do not want to accept a price increase, you may cancel your subscription under section 10 before the new price takes effect. Continuing to use the Services after a price increase takes effect means you accept the new price.
18. Suspension for non-payment
If a subscription payment fails and is not resolved within a reasonable time after we notify you, we may suspend your access to the Platform until the outstanding amount is paid.
We may also suspend access where we reasonably believe your account is being used in breach of section 5 (acceptable use) or section 4 (licence), while we investigate.
19. Intellectual property
All intellectual property in the Platform, the Veyra Group brand, website content, and documentation belongs to Veyra Group or its licensors. These Terms do not transfer any intellectual property to you, other than the limited licence in section 4.
The underlying software technology that powers the Platform is licensed to us by a third-party provider and remains that provider's property. You receive no rights in that underlying technology beyond your right to use the Platform as set out in these Terms.
You retain ownership of your Customer Data and of the advertising creative, copy, and campaigns you create, subject to the licence you grant us to host, process, and display that content as needed to provide the Services.
20. Warranties disclaimer
The Services are provided on an "as is" and "as available" basis. Other than the warranties set out in these Terms and any warranty that cannot be excluded under the Consumer Protection Act or other applicable law, we make no other warranty, express or implied, about the Services, including any warranty of merchantability, fitness for a particular purpose, or non-infringement.
Nothing in this section limits any warranty or right that the Consumer Protection Act gives you and that cannot lawfully be excluded.
21. Limitation of liability
To the maximum extent permitted by law, and subject to the Consumer Protection Act, our total liability to you arising out of or relating to the Services, however caused, is limited to the total subscription fees you paid us in the three months immediately before the event giving rise to the claim.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential loss, including loss of profit, loss of business, or loss of advertising results, including losses arising from the acts, omissions, or policies of third-party advertising platforms.
Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited under the Consumer Protection Act or any other applicable South African law, including liability for death, personal injury, or gross negligence where the law does not allow it to be excluded.
22. Indemnity
You agree to indemnify and hold us harmless against any claim, loss, or cost arising from your breach of these Terms, your misuse of the Platform, the advertising content or claims you publish through the Platform, or your breach of any third-party advertising platform's policies, except to the extent the claim arises from our own breach of these Terms or negligence.
23. Termination
You may terminate these Terms at any time by cancelling your subscription under section 10.
We may terminate these Terms and your access to the Services immediately on notice if you materially breach these Terms and do not remedy that breach within a reasonable time after we ask you to, or if you use the Services unlawfully or fraudulently.
On termination, sections of these Terms that by their nature should survive, including intellectual property, warranties disclaimer, limitation of liability, indemnity, and governing law, continue to apply.
24. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles.
You agree that the courts of the Republic of South Africa have jurisdiction to hear any dispute arising from these Terms, without prejudice to any right you have to bring a complaint before a consumer or regulatory body such as the National Consumer Commission or the Information Regulator.
25. Notices
We may send you notices under these Terms by email to the address on your account, or by posting a notice on the website. You may send us notices by email to [Support email address] or to the postal address in section 27.
A notice sent by email is treated as received on the day it is sent, unless the sender receives a delivery failure message.

27. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision is treated as removed to the extent it is invalid, unlawful, or unenforceable, and the remaining provisions continue in full force.
28. Entire agreement
These Terms, together with our Privacy Policy and any order confirmation or plan description we give you at checkout, make up the entire agreement between you and us about the Services, and replace any earlier agreement or understanding about the same subject matter.
